General Terms & Conditions

1. Definitions

In these Terms & Conditions, unless the context requires otherwise:

• “Agreement” means these Terms & Conditions together with any Proposal, Scope of Work, Invoice, Order Form, or written communication issued by Unic Digital Solutions Lkay (Pvt) Ltd.
• “Company”, “We”, “Our”, “Unic Lkay” means Unic Digital Solutions Lkay (Pvt) Ltd.
• “Client”, “You”, “Your” means the person, company, or entity purchasing Services.
• “Services” means any service provided by Unic Lkay including (but not limited to):

  • WordPress Plugin Development
  • Landing Page Design & Development
  • Ecommerce Website Design
  • Corporate & Individual IT Support
  • SEO Services (Search Engine Optimization)
  • Boost Your Google Rankings & AI Visibility (AEO)
  • Web Design Services
  • Digital Marketing Services
  • Corporate & Individual Branding
• “Fees” means the agreed price for the Services plus any Additional Charges.
• “Scope” means the Scope of Work document provided by Unic Lkay describing what will be delivered.
• “Additional Charges” means work requested outside the Scope and billed at the hourly rate.
• “Notice” means written communication (including email) sent to the contact details provided by each party.
• “Business Day” means any day other than a Saturday, Sunday, or public holiday in Sri Lanka.
• “Bug” means a lack of function in deliverables that is the direct result of a coding error by Unic Lkay.

2. Acceptance

Acceptance of this Agreement occurs when any of the following happens:

• You sign a proposal/contract or accept via an online portal; or
• You make a payment (deposit, milestone, or retainer); or
• You provide written confirmation by email to proceed.

Once accepted, this Agreement becomes legally binding.

3. Payment Terms

• Payment period: Invoices are payable within 30 days unless otherwise agreed in writing.
• Project payments: Projects may operate on a deposit + milestones basis as stated in the Proposal/Scope.
• Monthly retainers: Monthly services continue on a month-to-month basis after the initial term unless cancelled with 30 days’ written notice.
• Direct debit: Where authorised, direct debit arrangements may be used.
• Non-payment: Failure to pay may result in suspension of Services, access restrictions, or pausing work until payment is received.

4. Early Termination

If you terminate a fixed-term contract early (outside a valid breach/termination reason under this Agreement), you agree to pay an amount equal to 50% of the expected remaining contract value.

Unless otherwise agreed, termination requires 30 days’ written notice.

5. Additional Charges

Work outside the agreed Scope will be charged as follows:

• Hourly rate: USD $195 per hour
• Minimum charge: 1 hour
• Taxes: No VAT/NBT is added unless legally required in future.

6. Intellectual Property

• Upon full payment of all Fees, Intellectual Property created specifically for you under the Scope is assigned/transferred to you, unless otherwise stated.
• Unic Lkay may display completed work in our portfolio and marketing materials (unless you request in writing that we do not).
• A footer credit link may be included on websites unless otherwise agreed in writing.

7. Confidentiality & Secure Information Transfer

• Both parties must keep Confidential Information private and use it only for the purpose of delivering/receiving Services.
• Each party must maintain reasonable security measures to prevent unauthorised use, disclosure, or transfer of Confidential Information.
• Confidential Information should be shared using secure methods (e.g., SSL/TLS email, secure file sharing, password-protected links).
• Each party agrees to notify the other promptly of any actual or suspected unauthorised disclosure.

8. AI Use for Meeting Notes, Recordings & Calls

Unic Lkay may use recording and artificial intelligence (AI) tools to support accurate record-keeping and productivity. This may include AI note-takers for online/in-person meetings and AI-powered analysis of meeting/phone recordings to produce transcripts, summaries, and action items.

By participating in meetings or phone calls with Unic Lkay, you acknowledge and consent to the use of these tools for the purposes described. Data may be used to communicate, clarify requirements, and confirm activities as needed.

9. Limitation of Liability

To the maximum extent permitted by law:

• Unic Lkay is not liable for any indirect, incidental, special, or consequential damages.
• Unic Lkay is not liable for loss of profits, loss of revenue, business interruption, or loss of data.
• Unic Lkay’s total aggregate liability for all claims relating to this Agreement is limited to 50% of the Fees paid in the previous 6 months.
• Where liability cannot be excluded by law, it is limited to the re-supply of Services or a reasonable partial refund at Unic Lkay’s option.

10. Force Majeure

Unic Lkay is not responsible for delays or failures caused by events beyond our reasonable control, including but not limited to: natural disasters, internet outages, platform changes/suspensions, government actions, strikes, power failures, or third-party service failures.

11. Business Relationship

A cooperative working relationship is essential. Unic Lkay may immediately pause or cease work if the relationship breaks down due to:

• Abusive, insulting, or threatening behaviour
• Unreasonable demands or persistent non-cooperation
• Repeated communication breakdown or non-responsiveness
• Reputational harm (including public attacks, harassment, or bad-faith reviews)
• Non-payment

All outstanding Fees remain payable.

12. Entire Agreement

This Agreement and the Scope form the entire agreement between the parties and supersede all prior discussions and representations. Any changes must be agreed in writing.

Web Development Terms

1. Bugs & Warranty

• A “Bug” is a functional error caused directly by Unic Lkay’s coding.
• Unic Lkay will address Bugs reported in writing within 60 days of activation/launch (functional/development issues only).
• Design tweaks, usability improvements, feature additions, and scope expansions are not Bugs and may be billed as Additional Charges.
• Issues caused by client-installed plugins, third-party integrations, or client changes may be excluded from warranty.

2. Content & Communication

• You are responsible for providing required content (text/images/files) in a timely manner.
• Delays in supplying content or approvals may extend project timelines.
• You are responsible for the accuracy and legality of your content and materials.

3. Hosting (If Hosted by Unic Lkay)

• FTP access: Provided
• cPanel access: Not provided
• Migration fee: Not charged (unless special/complex migration is requested in writing)
• Backups: Included as part of hosting (reasonable frequency based on hosting plan)
• Cancellation: Hosting continues month-to-month and requires 30 days’ written notice to cancel.

4. Archiving Policy

A project may be archived if:

• You are non-responsive for 15+ business days; or
• Milestone invoices remain unpaid; or
• Required content is not provided within a reasonable timeframe.

Archived projects may require re-assessment and re-scheduling before work recommences.

SEO Terms

1. Disclaimer (No Guarantees)

• Unic Lkay does not guarantee keyword rankings, traffic, leads, or revenue outcomes.
• Search engine algorithms and competitive landscapes change regularly and are outside our control.
• Results depend on many factors including website quality, competition, industry, prior SEO history, and technical environment.

2. Client Website Changes

Changes made by you (or third parties) to titles, content, structure, plugins, hosting, or technical settings may impact performance. Unic Lkay is not responsible for ranking drops caused by unauthorised changes.

3. Standard Term

Unless otherwise agreed in writing, the standard SEO campaign term is 6 months.

Digital Marketing & PPC Terms

1. Ads Account Access

• Client access to ad accounts may be provided based on the campaign structure and platform requirements.
• Platform rules and policies apply (Google, Meta, TikTok, etc.) and may change at any time.

2. Tracking Numbers

Any tracking phone numbers or tracking assets provided by Unic Lkay remain the property of Unic Lkay unless otherwise agreed in writing.

3. Minimum Term & Cancellation

• Unless otherwise agreed, paid advertising services may have a minimum 4-month term.
• Cancellations require 30 days’ written notice and charges may be pro-rated.
• Unused advertising credits (where applicable) are non-refundable.

IT Support Terms

• IT support may be delivered under a service plan (SLA) or billed hourly, as agreed in writing.
• Unic Lkay is not responsible for failures caused by third-party hardware, unmanaged systems, or client-side changes outside the agreed scope.
• Cyber incidents outside managed security scope are not covered unless explicitly included in the Scope.

Governing Law & Dispute Resolution

This Agreement is governed by the laws of Sri Lanka.

1. Good faith negotiation: Parties will attempt to resolve disputes through good faith discussions for up to 14 days.
2. Arbitration: If unresolved, disputes may be referred to arbitration in Sri Lanka.
3. Courts: If still unresolved, Sri Lankan courts will have jurisdiction.

This applies to local and international clients, including Australia, the UK, and Canada.
